1. Acceptance of Terms
By accessing or using any service operated by Suraj Kadam (imsurajkadam.com, Hidden Leaf Media, PopWheels, RenderCut, or any related service), you agree to be bound by these Terms & Conditions. If you do not agree, do not use the services.
2. Description of Services
The services offered include:
- Performance marketing — running Meta Ads and Google Ads campaigns for client brands, with daily WhatsApp reporting
- Marketing audits & strategy — one-time or recurring advisory engagements
- RenderCut — SaaS subscription for AI-generated video captions
- PopWheels — e-commerce sales of RC cars and PopBricks building sets
- AI automation services — custom workflows, lead scoring, cron-based reporting (KyotoOS-powered)
- Consulting & training — workshops, 1-on-1 sessions, content production
Specific deliverables, timelines, and fees are agreed separately in writing (proposal, SOW, or order form) for each engagement.
3. Engagement & Payment
- All paid engagements require a signed proposal / scope of work before work begins.
- Payment terms are typically 50% advance + 50% on delivery for projects under ₹1L, or monthly retainer for ongoing work, billed on the 1st of each month.
- Accepted payment methods: bank transfer (NEFT/RTGS/IMPS), UPI, Razorpay, Stripe, or PayPal for international clients. Cash on delivery is not accepted.
- Invoices are due within 7 days of issue unless otherwise stated in the proposal. Late payments accrue interest at 1.5% per month.
- All fees are exclusive of GST (18% Indian GST is added on top for Indian clients). International clients may be charged GST under reverse-charge mechanism if applicable.
4. Refund & Cancellation Policy
- Retainers: cancellable with 7 days written notice before the next billing cycle. No partial refunds for the current month.
- One-time projects: deposit (50%) is non-refundable once work has started. Remaining 50% refundable if cancelled before work begins.
- RenderCut subscriptions: cancel anytime; access continues until end of billing period. No partial refunds.
- PopWheels orders: see the refund policy on the store for product-specific terms.
- Disputes: if you believe a charge is in error, contact [email protected] within 14 days and I will investigate.
5. Client Obligations
When you engage me for services, you agree to:
- Provide accurate information about your business, ad accounts, and access credentials
- Respond to requests for approval or feedback within reasonable time (typically 48 hours)
- Pay invoices on time
- Comply with the advertising policies of Meta, Google, and any other platforms used
- Not use the services for any unlawful purpose (fraud, spam, misleading advertising, prohibited content categories)
6. Deliverables & Intellectual Property
- On full payment, you own the final deliverables I create specifically for you (ad copy, landing pages, automations, designs).
- I retain the right to display the work in my portfolio, case studies, and marketing materials, unless we agree otherwise in writing (NDA).
- Pre-existing tools, frameworks, and templates I bring to the engagement (including KyotoOS components) remain my intellectual property. You receive a non-exclusive license to use them as part of the deliverables for your business.
- Open-source components are governed by their respective licenses.
7. Advertising Platform Compliance
When running ad campaigns on Meta or Google, I act as an authorized agent operating your ad account. You remain the account owner and are responsible for:
- The accuracy of all claims made in your ads
- Compliance with Meta Advertising Standards (prohibited content, restricted content, ad disclosures)
- Compliance with Google Ads policies
- Any regulatory disclosures required by your industry (e.g. LegitScript certification for addiction treatment centers, FDA disclaimers for health products)
- Tax compliance and proper invoicing to your end customers
I will refuse to run campaigns for content that violates Meta or Google policies, or that I reasonably believe to be deceptive, harmful, or illegal.
8. Performance & No-Guarantee Disclaimer
While I commit to applying industry best practices and working in good faith:
- No specific results are guaranteed. Ad performance depends on market conditions, audience, creative quality, budget, and many factors outside my control.
- Past performance of any client campaign does not guarantee future results for any other client.
- I do not guarantee any specific ROAS, CPL, CTR, lead volume, or revenue figure.
- "Case study" numbers (e.g. 129 leads/day at Anavrin Stays, $25K/month managed) reflect a specific point in time and are not promises.
9. Limitation of Liability
To the maximum extent permitted by law:
- The services are provided "as is" without warranty of any kind.
- I am not liable for any indirect, incidental, or consequential damages arising from your use of the services, including lost profits, lost data, or business interruption.
- My total aggregate liability for any claim relating to the services is limited to the amount you paid me in the 3 months immediately preceding the claim.
- I am not liable for actions or policies of third-party platforms (Meta, Google, Stripe, Cloudflare, etc.).
10. Termination
- Either party can terminate an ongoing engagement with 7 days written notice.
- I reserve the right to suspend or terminate access to any service immediately if you violate these terms, fail to pay, or engage in abusive behavior.
- Upon termination, you must pay for all work completed up to the termination date.
- Sections relating to payment, intellectual property, liability, and dispute resolution survive termination.
11. Confidentiality
I treat your business information (ad spend, customer data, strategy) as confidential and will not disclose it to third parties without your written consent, except:
- As required by law or valid legal process
- To my contractors or assistants bound by the same confidentiality (with notice to you)
- In aggregated, anonymized form for case studies (no individual identification)
12. Governing Law & Dispute Resolution
- These terms are governed by the laws of India, with jurisdiction in the courts of Navi Mumbai, Maharashtra.
- Disputes will first be attempted to be resolved through good-faith negotiation (email to [email protected] with 14 days to respond).
- If unresolved, disputes proceed to binding arbitration under the Indian Arbitration and Conciliation Act, 1996, in Navi Mumbai.
- Nothing in this clause prevents either party from seeking injunctive relief in a court of competent jurisdiction.
13. Changes to These Terms
Material changes will be notified by email to active clients at least 14 days before taking effect. Continued use of the services after the effective date constitutes acceptance.
